1. INTRODUCTION

These Terms of Service ("Terms") govern your use of the services provided by AI Profit Solutions and its affiliates ("AI Profit Solutions"). By accepting a Sales Order, you agree to these Terms and acknowledge your authority to bind your organization to these Terms. If you do not agree, you may not use the services provided by AI Profit Solutions.

2. DEFINITIONS

Account: Your registered account with AI Profit Solutions. These Terms, the Sales Order, and any referenced documents, Customer Data, Data submitted by you or your users or services, Subscription-based services provided by AI Profit Solutions. Subscription Term: The period during which you have agreed to subscribe to the Services.

3. SERVICES AND LICENSING

AI Profit Solutions will provide subscription-based services as described in your Sales Order and/or Service Package. These services are subject to your compliance with these Terms, the Privacy Policy, and any other referenced terms.

4. ACCOUNT RESPONSIBILITIES

You must maintain an active account in good standing and keep your account information up-to-date. You are responsible for all activities under your account and for maintaining the confidentiality of your account credentials.

5. THIRD-PARTY SERVICES

AI Profit Solutions may include third-party software or services. Your use of these third-party services is subject to their respective terms and conditions.

6. SALES ORDERS AND RENEWALS

Sales Orders detail the services you are purchasing. Each Sales Order specifies the initial term, which will auto-renew unless either party provides a 30-day notice of non-renewal. AI Profit Solutions reserves the right to update, upgrade, or discontinue services with prior notice.

7. FEES AND PAYMENT

You agree to pay all charges specified in the Sales Order. Charges are non-refundable after 30 days and based on the Subscription Services, not actual usage. Overdue amounts may incur interest, and AI Profit Solutions may suspend services for unpaid, undisputed amounts.

8. PROFESSIONAL SERVICES

Professional services, if applicable, will be provided as specified in the Sales Order or SOW. Any changes to these services require a Change Order.

9. CONFIDENTIALITY AND DATA PROTECTION

Both parties agree to keep each other's Confidential Information confidential and use it only for purposes of the Agreement. AI Profit Solutions will use commercially reasonable efforts to safeguard your data.

10. WARRANTIES AND DISCLAIMERS

AI Profit Solutions warrants that it will provide services with a commercially reasonable level of skill and care. However, services are provided "as is" without any implied warranties, including merchantability or fitness for a particular purpose.

11. LIMITATION OF LIABILITY

AI Profit Solutions's liability is limited to the total amounts paid under the Agreement in the one month preceding the claim. AI Profit Solutions is not liable for any indirect, incidental, or consequential damages.

12. TERM AND TERMINATION

This Agreement is effective from the acceptance date of the Sales Order and continues as long as services are provided. Either party may terminate the Agreement for cause with written notice if the other party fails to cure a material breach within 30 days.

13. NOTICES

Notices from AI Profit Solutions will be sent to the email address provided in your account. You must keep your email address current. Notices to AI Profit Solutions should be sent to [email protected]

14. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement is governed by the laws of Arizona, with disputes resolved in Arizona. Any unresolved disputes will be settled by binding arbitration in Maricopa County Arizona.

15. MISCELLANEOUS

This Agreement constitutes the entire agreement between you and AI Profit Solutions. It supersedes all prior communications and proposals. Any modifications or waivers must be in writing and signed by both parties. If any part of this Agreement is found to be invalid, the remaining provisions will continue in effect.

Schedule 1: Definitions

Acceptance: Approval of a Sales Order through various means, including electronic confirmation. Authorized User: Individuals authorized by you to use the Services.

Change Order: A mutually agreed change to the SOW. Customer Equipment: Your equipment used with the Services.

Effective Date: The date the Sales Order is accepted.

Initial Term: The initial period of the subscription as stated in the Sales Order.

Intellectual Property Rights: All intellectual property rights, including patents, trademarks, and copyrights.

Professional Services: Additional services provided under the Agreement.

Subscription Charges: Fees for the subscription services.

Subscription Service Term Start Date: The date the subscription services commence.

Taxes and Fees: Taxes and fees related to the services provided.

Usage Charges: Variable charges based on your use of the services of AI Profit Solutions.
